OSRAM Licht AG is the world's second largest lighting company, with its channel business including CLB (traditional lighting and ballast) and LL&S (LED lights and systems), with world-renowned brands OSRAM (Osram) and Sylvania (Hi Million years), and covering a huge sales channel in about 150 countries.
OSRAM announced plans for the spin-off channel business in April this year and expects to complete the spin-off of the business within 12 months. In June, the OSRAM Supervisory Board approved the spin-off plan. Its channel business spin-off mainly involves the division of lighting products, brand authorization schemes, and restructuring plans of global factories. At present, Osram has not yet made an announcement on the specific spin-off plan.
Feile Audio intends to issue a non-binding letter to OSRAM Licht AG to acquire its channel business, either to acquire the business in cash or to complete the acquisition in one step through a newly formed special purpose acquisition entity (SPV). The company plans to complete the acquisition by means of debt and equity financing.

On July 21, Feile Audio (600651) announced on Tuesday that the company and its related parties will either adopt a newly established special purpose acquisition entity (SPV) and expect to acquire the channel business of OSRAM Licht AG.
